A UAE holding-company discussion should start with what the entity will own and why the group needs it. It should not start with a jurisdiction package. Separate ownership, trading, staff, contracts and funding before selecting a structure. This guide helps owners prepare a decision brief for qualified legal and tax advisers and the relevant registration authority.
Define the job of the proposed entity
Write one sentence describing the purpose: owning shares in operating businesses, holding a particular investment, or organising ownership for a defined transaction. Then list what the entity is expected to do in practice. Will it invoice customers, employ a management team, provide services, borrow, own intellectual property or receive income from investments? These are questions to verify, not interchangeable permissions.
A holding purpose does not automatically authorise operational activity. For a concrete example, ADGM’s official SPV guidance describes its special purpose vehicles as passive holding companies and states that they cannot conduct operational business or hire staff. That restriction relates to ADGM SPVs; do not generalise it into a rule for every holding-company form in every UAE jurisdiction.
Draw the current structure before designing the future one
Create two simple ownership charts: the current arrangement and the proposed arrangement. Show the individual owners, every intermediate entity, operating companies and the assets being considered. Mark countries of incorporation and where each business actually operates.
Alongside each entity, record its commercial role. Identify who signs customer contracts, receives revenue, pays staff and bears operating expenses. If the chart cannot explain these responsibilities clearly, adding another company may increase complexity without solving the original problem.
Use THRAVOT’s corporate structuring service to organise the objectives and open questions. A structure chart is a briefing tool; it is not a legal opinion on ownership, liability or enforceability.
Compare the realistic alternatives
Ask whether the objective requires a new holding entity at all. Compare retaining the existing ownership arrangement, establishing a UAE operating subsidiary, considering a branch, or evaluating an eligible holding vehicle. Each alternative should be assessed against the actual business purpose and implementation consequences.
An overseas company entering the UAE may first need to decide how to operate locally. The branch versus subsidiary guide addresses that entry decision. A passive holding vehicle and an operating company solve different problems; one should not be selected as a shortcut to the other.
Verify eligibility and service-provider requirements
For any shortlisted jurisdiction, request confirmation of permitted activities, applicant eligibility, registered-office arrangements, documents and ongoing obligations. ADGM’s SPV page states that non-exempt SPVs must appoint a Company Service Provider. Applicants considering that route should confirm their classification and provider requirements directly through ADGM’s current guidance.
Do not assume THRAVOT acts as an ADGM registered Company Service Provider or that a referral guarantees registration. THRAVOT’s role is business assessment and coordination within an agreed scope; the relevant authority and appointed specialists confirm eligibility and regulated work.
Send legal and tax questions to the right specialists
Prepare a written list of questions for qualified advisers: how existing shares or assets could be transferred, what approvals or lender consents may be needed, how governance will work and what happens if owners disagree. Ask tax advisers to assess the actual ownership, income and transaction facts across the relevant jurisdictions.
Do not assume that a holding label produces a particular tax result, automatic treaty access or complete asset protection. A useful adviser brief states the desired outcome and asks for a reasoned assessment of conditions and consequences. Avoid implementing transfers on the basis of a general website article.
Budget for the whole structure
Build an internal cost model covering formation, advice, service providers, registered office, banking preparation, records, reporting, renewals and eventual changes or closure. Obtain written quotations and confirm what each includes. Compare the annual administrative work as well as the initial incorporation cost.
If a holding entity sits above an operating business, budget for both. Your operating-company setup still needs its own activity and operational review. Use the corporate banking-readiness guide to prepare questions about the resulting ownership layers and payment flows.
A practical decision brief for your first meeting
Bring the current and proposed ownership charts, the reason for change, the assets or shares involved, the expected commercial flows and a list of unresolved approvals. Record your target date and any transaction that depends on it. Ask advisers to separate confirmed facts from assumptions before comparing routes.
Questions owners ask
Is an ADGM SPV the same as an operating company?
No. ADGM describes its SPVs as passive vehicles with restrictions on operating business and hiring. Check whether the proposed activity needs a different entity or licence.
Should every group create a UAE holding company?
No universal structure fits every group. First establish a commercial purpose, then obtain case-specific legal, tax and authority confirmation.
